This Membership Agreement (the "Agreement") is entered into between iSchoolConnect Inc. (d/b/a EDMO) ("EDMO," "we," or "us"), the founder and operator of LEAD - Leaders in Education Advancement & Development (the "Community" or "LEAD") - and the individual (the "Member," "you," or "your"). By signing this Agreement, the Member agrees to the terms set out herein governing their founding membership in the Community.
LEAD is a premier, invitation-only peer leadership community of higher education's most extraordinary enrollment leaders. It is a high-trust environment of radical candor and open sharing, in which extraordinary peers learn from one another, access exclusive enrollment intelligence, share exceptional experiences, and build lasting leadership relationships that exist nowhere else in the higher-education industry.
The purpose of LEAD is to inspire and support its Members in making a defining, lasting and transformative difference in the institutions they lead and in the future of higher education itself.
Membership in LEAD is extended by invitation and confirmed by application. Meeting the membership criteria does not guarantee acceptance. This Agreement confirms the Member's admission to the cohort of LEAD upon acceptance by EDMO.
Membership is personal to the Member and may not be transferred, assigned or shared with any other individual or institution without the prior written consent of EDMO.
Membership is granted for an initial term of twelve (12) months from the date of execution (the "Term"), and renews annually thereafter subject to continued good standing and payment of the applicable annual membership fee.
Either party may decline renewal by providing written notice no later than thirty (30) days before the end of the then-current Term.
The annual membership fee is USD $199 per year, payable upon acceptance and on each renewal date. The fee is non-refundable except where required by applicable law.
EDMO will provide reasonable advance notice of any change to the annual membership fee, which will take effect at the Member's next renewal.
EDMO reserves the right to waive off membership fee for deserving members.
In joining LEAD, the Member agrees to:
LEAD operates as a high-trust, confidential community. Discussions, materials, member information and intelligence shared within the Community are provided in confidence. The Member agrees not to attribute, publish, or disclose any confidential discussion, document or personal information of another Member outside the Community without the express consent of the individual concerned and, where applicable, EDMO.
This obligation survives the termination or expiry of the Member's membership.
The Member is solely responsible for ensuring that their membership in LEAD, and their participation in its benefits, complies with the policies of their employing institution, including any applicable conflict-of-interest, outside-activity, gift and disclosure requirements. EDMO encourages Members to disclose and, where required, seek approval for their membership through the appropriate channels at their institution.
Nothing in this Agreement is intended to require or encourage any Member to act inconsistently with the policies or legal obligations applicable to them.
EDMO will handle the Member's personal information in accordance with its privacy policy and applicable data-protection law. Member information is used to administer membership, deliver benefits, and communicate about the Community. EDMO does not sell Member information.
Either party may terminate this Agreement on written notice. EDMO may suspend or terminate a membership where a Member breaches this Agreement, compromises the confidentiality or integrity of the Community, or conducts themselves in a manner materially inconsistent with the Community's values.
On termination, the Member's right to identify as a Member of LEAD and to access member benefits ceases. Sections concerning Confidentiality and Intellectual Property survive termination.
The Community and its benefits are provided in good faith and on a reasonable-efforts basis. To the fullest extent permitted by law, EDMO's total liability arising out of or in connection with this Agreement will not exceed the membership fee paid by the Member in the twelve (12) months preceding the event giving rise to the claim.
This Agreement constitutes the entire agreement between the parties regarding membership in LEAD and supersedes any prior understanding on that subject. Any amendment must be made in writing. If any provision is found unenforceable, the remaining provisions continue in full force. This Agreement is governed by the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict-of-laws principles.
